Terms & Conditions of Sale

These terms apply to quotations, sample orders, and bulk wholesale orders placed with us. They exist so that both sides know exactly what was agreed before money moves.

Last updated: September 2026

1. Who we are

These terms govern dealings with Guangzhou Lihua Trading Co., Ltd., a company registered in Guangzhou, China, trading as Leaplyn™ ("we", "us"). You ("the buyer") are the business placing the inquiry or order.

Leaplyn™ is a wholesale supplier and sourcing partner. We coordinate production with partner workshops in Panyu, Guangzhou's jewelry manufacturing cluster. We are not a factory, and nothing in these terms should be read as a claim that we own manufacturing facilities.

2. Business-to-business only

We sell wholesale. Products are not offered to consumers, and there is no retail pricing or checkout on this website. By requesting a quote or placing an order, you confirm you are acting in the course of business and not as a consumer.

3. Quotations and orders

A quotation is an invitation to buy, not a binding offer. An order becomes binding when we issue a proforma invoice and you confirm it. The specifications, quantities, unit prices, lead time, and shipping terms recorded on that proforma invoice are the terms of your order — if anything discussed earlier conflicts with it, the proforma invoice prevails.

Quotations remain valid for the period stated on the quotation itself.

4. Minimum order quantity

The minimum order quantity is 50 pieces per style. You may combine several styles in one order provided each style meets 50 pieces. We reserve the right to decline any inquiry or order.

5. Prices, duties, and taxes

Unless expressly stated otherwise in the proforma invoice, quoted prices exclude shipping, insurance, customs duties, import taxes, and any clearance or handling fees in your country. Those costs are for your account.

6. Samples

Samples are charged at sample price and are dispatched once payment is received. Where applicable, the sample fee is credited toward your first bulk order. Custom samples are made to your confirmed specification; once a custom sample has been approved and production has begun, that approval is final.

7. Payment

Standard terms are 30% deposit to confirm the order, 70% balance before shipment, settled by T/T (bank transfer) to our corporate account. Any allocation of bank charges is stated on the proforma invoice. We may suspend production or shipment while any agreed payment is outstanding.

8. Lead times

Typical lead times, given as a guide and confirmed on your proforma invoice:

  • Sampling: 7–12 business days for custom designs, counted from confirmed artwork and receipt of the sample deposit; about 3–5 business days for in-stock samples.
  • Production: 15–25 business days after the deposit and approved sample.
  • Shipping: about 3–7 business days by express courier to North America and Europe after dispatch; sea freight takes considerably longer.

These are working estimates, not guarantees. Production involves multiple manual stages and scheduling across workshops, so a delay is possible; if one occurs we will tell you promptly and give a revised date. Delivery estimates are not of the essence unless expressly agreed in writing.

9. Shipping, risk, and customs

The shipping terms applicable to your order (for example EXW or FOB Guangzhou) are those stated on your proforma invoice, and risk transfers accordingly. Title to the goods passes when the balance is paid.

Once goods are handed to the carrier, delays caused by customs inspection, clearance procedures, or import restrictions in your country are outside our control. You are responsible for ensuring the goods may lawfully be imported into your market.

10. Inspection and claims

Every piece is inspected before shipment, and we share photographs of the finished goods before you pay the balance.

On arrival, please inspect your order. If you believe any item has a manufacturing defect or has been damaged in transit, notify us within 14 days of delivery, including photos or video showing the issue and the quantity affected. We will arrange a free replacement or a refund for verified defects, and we cover the return shipping for defective items.

11. What is not covered

Claims cannot be made for:

  • damage arising from normal wear, misuse, improper storage, or cleaning;
  • goods that have been altered, resized, or modified by you or a third party;
  • differences of taste — pieces that are simply not what you expected aesthetically;
  • minor variations inherent to hand-finished jewelry and to natural variation in stone colour, within normal tolerance.

12. Materials and honest description

We describe our products by their actual composition: 925 sterling silver with the plating stated, and stones that are lab-created moissanite — never natural diamond.

You agree to describe these materials accurately when you resell them, including disclosing moissanite as lab-created where your market requires it. We will not provide certificates or compliance documents we cannot substantiate; if your market requires specific testing or documentation, raise it before you order so we can confirm what can be arranged.

13. Intellectual property

Artwork, drawings, designs, logos, and trademarks you supply remain yours. We will use them only to produce your order and will not apply your branding to goods supplied to anyone else. Conversely, our catalog designs, product photography, and brand materials remain ours; ask before reusing our photography in your own marketing.

Information exchanged during an inquiry or order — including pricing, specifications, and volumes — is treated as confidential by both sides.

14. Limitation of liability

To the extent permitted by law, our total liability arising out of any order is limited to the value of that order. We are not liable for indirect or consequential losses, including lost profit, lost sales, or damage to your business reputation.

Nothing in these terms limits liability that cannot lawfully be limited.

15. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control — including natural disaster, epidemic measures, government action, customs or transport disruption, labour shortage, or material shortage. We will notify you and resume performance as soon as practicable.

16. Governing law and disputes

These terms are governed by the laws of the People's Republic of China. If a dispute arises, both sides will first try to resolve it by good-faith discussion. If that fails, the dispute is submitted to the competent court in Guangzhou, China. The United Nations Convention on Contracts for the International Sale of Goods applies only where it is mandatorily applicable.
